Terms of Service

Effective date: June 5, 2025

1. Acceptance of terms

By creating an account or using Unus SDR (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service. The Service is operated by Unus AI ("we," "us," or "our").

2. Description of service

Unus SDR is an AI-powered outbound sales automation platform. It sources leads, generates personalized email copy, sends emails from your connected mailbox, executes follow-up sequences, replies to incoming messages using your knowledge base, and escalates conversations when a defined goal (such as a booked meeting) is reached. You retain full control and responsibility over the campaigns you configure and the messages sent on your behalf.

3. Eligibility

You must be at least 18 years old and have the legal authority to enter into these Terms on your own behalf or on behalf of the organization you represent. By using the Service, you represent that these requirements are met. The Service is intended for business use only and is not for personal, household, or consumer purposes.

4. Accounts and security

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at hello@unus-ai.com if you suspect unauthorized access. We are not liable for any loss resulting from unauthorized use of your account.

5. Acceptable use

You agree not to use the Service to:

  • Send spam, unsolicited bulk email, or messages that violate CAN-SPAM, CASL, GDPR, or any applicable anti-spam or commercial email law.
  • Contact individuals who have previously opted out or unsubscribed from your communications.
  • Harass, threaten, or harm any individual or organization.
  • Send messages containing illegal content, malware, phishing material, or deceptive claims.
  • Impersonate another person or organization without authorization.
  • Circumvent, reverse-engineer, or attempt to access systems beyond your authorized scope.
  • Resell, sublicense, or offer the Service to third parties without our prior written consent.
  • Use the Service to promote illegal activities, adult content, weapons, or any category prohibited under applicable law.

You are solely responsible for the content of emails sent through the Service and for complying with all laws applicable to your email campaigns, including anti-spam regulations in your jurisdiction and those of your recipients. We reserve the right to suspend accounts that generate abuse complaints above industry thresholds.

6. Email compliance obligations

Because the Service sends commercial email on your behalf, you agree to:

  • Include a valid physical mailing address in all commercial emails where required by law.
  • Honor opt-out and unsubscribe requests within 10 business days.
  • Only contact prospects for whom you have a legitimate business reason or lawful basis under applicable law.
  • Not use deceptive subject lines or sender information.
  • Maintain a suppression list and keep the never-contact list current.

You acknowledge that failure to comply with applicable email laws may expose you to significant civil penalties. We are not liable for penalties arising from your non-compliance.

7. Subscription and billing

The Service is offered on a monthly subscription basis at the price displayed at checkout (currently $499 USD per month). Subscriptions renew automatically at the end of each billing period unless cancelled before the renewal date.

Payments are processed by Stripe. By subscribing, you authorize us to charge your payment method on a recurring monthly basis. All fees are stated in US dollars and are exclusive of any applicable taxes, which are your responsibility. All fees are non-refundable. If your payment fails, access to the Service may be suspended until payment is successfully collected.

8. Cancellation

You may cancel your subscription at any time through the billing portal in your account settings. Cancellation takes effect at the end of the current billing period. You will retain access to the Service until that date. No refunds or credits are issued for unused portions of a subscription period.

9. Intellectual property

The Unus SDR platform, including its software, design, and AI systems, is owned by us and protected by applicable intellectual property laws. You retain ownership of all content you upload, including knowledge base materials and lead data. By using the Service, you grant us a limited, non-exclusive license to process your content solely to provide the Service to you. We do not train our AI models on your content.

10. AI-generated content

The Service uses Google Gemini and other AI models to generate email copy, qualify leads, and manage conversations. You acknowledge that:

  • AI-generated content may contain inaccuracies, and you are responsible for the accuracy and appropriateness of messages sent on your behalf.
  • The AI agent responds to incoming messages based on your knowledge base; you are responsible for keeping that knowledge base accurate and compliant.
  • We make no warranties regarding the accuracy, relevance, or fitness of AI-generated output for any specific purpose or result.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY PARTICULAR SALES RESULTS WILL BE ACHIEVED. EMAIL DELIVERABILITY IS SUBJECT TO FACTORS OUTSIDE OUR CONTROL, INCLUDING YOUR DOMAIN REPUTATION AND RECIPIENT EMAIL PROVIDER POLICIES.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE THREE MONTHS PRECEDING THE CLAIM. IN NO EVENT WILL WE BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOSS OF DATA, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

13. Indemnification

You agree to indemnify, defend, and hold harmless Unus AI and its officers, directors, employees, and agents from and against any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law, including anti-spam laws; (d) the content of emails sent through the Service; or (e) your violation of any third-party rights.

14. Termination

We reserve the right to suspend or terminate your account at any time if we determine, in our sole discretion, that you have violated these Terms, engaged in abusive use of the Service, or that continued operation poses a risk to other users, third parties, or our email infrastructure. Upon termination, your right to use the Service ceases immediately. Sections 9, 11, 12, 13, 15, and 16 survive termination.

15. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any dispute arising from or related to these Terms that cannot be resolved informally shall be submitted to binding arbitration under the rules of the American Arbitration Association, conducted in English. Nothing in this section prevents either party from seeking injunctive relief in a court of competent jurisdiction to prevent irreparable harm.

You waive any right to participate in a class action lawsuit or class-wide arbitration against us.

16. Changes to these terms

We may update these Terms from time to time. We will notify you of material changes by email and by posting the updated Terms with a new effective date at least 14 days before they take effect. Continued use of the Service after the effective date constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must cancel your subscription before the effective date.
